Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and BARS AI LTD (“Exhibo”, “we”, “us”) governing access to https://exhibo.art and related services. By registering, browsing, publishing content, or completing a transaction on Exhibo, you confirm that you have read and agree to these Terms.

If you do not agree, you must not use the platform. Commercial pricing is summarised on our Pricing page; these Terms explain the legal framework behind those products.

1. Operator

Exhibo is operated by BARS AI LTD, registered in England and Wales (Company No. 16732165), trading as Exhibo.

2. Definitions

  • Gallery / Museum — a tenant organisation with a dashboard on Exhibo.
  • Collector — a registered user who saves works, follows entities, or purchases through the platform.
  • Listing — any gallery, museum, artwork, exhibition, event, press release, or person profile published on Exhibo.
  • Inquiry — a buyer message requesting information or negotiation about an artwork or gallery.
  • Platform lead — an inquiry, deposit, or card transaction that originates through Exhibo.
  • Commission — the percentage fee Exhibo charges on platform-originated sales, as determined by subscription tier.

3. The service

Exhibo provides, among other features:

  • A multi-city directory of commercial galleries and museums.
  • Artwork and exhibition catalogues with search, filters, and SEO-friendly URLs.
  • Gallery dashboards for profile management, people registry, leads, billing, and optional commerce.
  • A press room with editorial review and optional paid wire distribution.
  • Collector tools: saved works, follows, saved searches, alerts, and purchase history.
  • Optional card payments via Stripe Connect or Exhibo Checkout (held funds).
  • Platform blog, editorial collections, events listings, and ownership-claim workflows.

Listings seeded by Exhibo or marked unverified are provided for discovery only until claimed and approved by the rightful operator. We do not guarantee the accuracy of third-party content and do not act as an auction house or guarantor of authenticity unless explicitly stated in writing for a specific transaction.

4. Accounts

Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to register a gallery or museum account. You agree to provide accurate information and to update it when it changes. One gallery or museum tenant is linked to at least one owner user; additional team seats may be invited where enabled.

Security

You are responsible for all activity under your credentials and for any team members you authorise. Notify us immediately at legal@exhibo.art if you suspect unauthorised access.

Approval

New commercial listings may enter draft or pending status until reviewed by Exhibo. We may refuse or suspend accounts that fail verification, breach these Terms, or pose reputational or legal risk.

5. Listings and content

Gallery and museum operators warrant that:

  • They have the right to publish all images, text, prices, and metadata they upload.
  • Descriptions of availability, provenance, and attribution are accurate to the best of their knowledge.
  • They will not impersonate another organisation or misrepresent affiliation with artists, fairs, or institutions.
  • Press releases and news articles comply with applicable advertising and defamation laws.

We may edit, reject, unpublish, or remove content that violates these Terms, infringes third-party rights, or is otherwise harmful to the platform. Public URLs, Open Graph metadata, JSON-LD, and RSS feeds may be generated automatically from published content.

By publishing content you grant Exhibo a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, index, and promote that content for the purpose of operating the service — including search engines, editorial features, and press syndication where a distribution package has been purchased.

6. Subscriptions and billing

Subscription tiers, usage limits, and monthly fees are set out on our Pricing page. Paid plans renew automatically via Stripe until cancelled through the billing portal or by contacting us.

  • Fees are quoted in USD unless otherwise stated at checkout.
  • Verified public institutions may receive 50% off subscription fees after admin approval. The discount does not apply to press packages or sales commission.
  • Downgrading may leave existing content visible but block new uploads until you are within tier limits.
  • Failure to pay may result in suspension of paid features; we may pursue outstanding amounts.

Editorial Representation — cancellation and refunds

Editorial Representation is an annual commercial layer on selected Places (CTA buttons and performance stats). It is separate from gallery/museum subscription tiers and from press packages.

  • Fees are charged annually via Stripe and renew automatically until you cancel through the billing portal or by contacting us at the legal email above.
  • Cancellation stops renewal at the end of the current paid period. Encyclopedic Place content remains on Exhibo; commercial CTAs and the stats dashboard are removed when the subscription is no longer active.
  • Refunds and mid-term cancellations are exceptional and granted only on a one-off basis at Exhibo’s discretion (for example, clear billing error). There is no self-service refund for Representation.
  • The optional Extended Editorial article is a one-time fee. Once production has started or the article has been delivered and linked to the Place, that fee is non-refundable except where required by law or where Exhibo cannot fulfil the order.

7. Press distribution

Galleries and museums may submit press releases for editorial review. Distribution packages (see Pricing) are one-time fees independent of subscription tier. Payment is required before review unless Exhibo runs an explicit promotional waiver.

  • Approved releases are published on Exhibo as the canonical source with SEO value to the publisher.
  • External syndication is fulfilled according to the package purchased; timing depends on wire partners and editorial schedules.
  • We may reject releases that are misleading, unlawful, or off-brand without refund where the rejection is due to your content.
  • Introductory pricing (for example, the Exhibo-only package at promotional rates) may change with notice on the Pricing page.

8. Commerce and commission

Card commerce is optional and disabled by default. Galleries choose a payout mode in Billing: inquiry only, Stripe Connect, or Exhibo Checkout (held). Commission rates depend on subscription tier:

Direct purchase

Where Connect or Exhibo Checkout is enabled, collectors may pay by card for available works with a listed price up to US$15,000 per transaction. Above that threshold, or for price-on-request works, a deposit-gated inquiry applies.

Deposit inquiry

Buyers may pay a deposit (US$500US$1,000, scaled by work value) before the gallery's full contact details are revealed. Exhibo retains its tier commission percentage from the deposit. The gallery negotiates the final sale off-platform or through subsequent platform checkout where applicable.

Commission display

Galleries choose per artwork whether the platform fee is included in the buyer-facing price or added on top (“commission on top”). Checkout copy reflects the selection.

Exhibo is a facilitator, not the seller of record for gallery inventory. Title, authenticity, condition, shipping, customs, and risk of loss remain between buyer and gallery unless we explicitly state otherwise at checkout for a specific platform sale.

9. Platform payout terms (Exhibo Checkout)

Version 2026-06-21. These supplemental terms apply when a gallery selects Exhibo Checkout (held) and accepts them in the billing dashboard.

  • Buyers pay BARS AI LTD via Stripe on Exhibo’s platform account. Funds are not sent to your bank at checkout.
  • Net proceeds (after Exhibo commission and agreed deductions) enter a held status for at least 14 calendar days and until delivery is evidenced.
  • Acceptable delivery proof includes courier tracking, signed receipt, installation documentation, or other evidence we approve.
  • Delivery, authenticity, and dispute resolution between buyer and seller remain your responsibility; Exhibo holds funds as payment agent only.
  • You request payout of available balance by submitting an invoice reference and, where required, a PDF invoice. We allocate sales on a FIFO basis.
  • Payouts are made by bank transfer on a manual schedule unless otherwise agreed in writing. Stripe’s payout to Exhibo’s own bank is separate from your gallery wire.
  • Chargebacks, refunds, or Stripe disputes may delay release, claw back amounts, or offset future payouts.
  • We may suspend Exhibo Checkout for elevated fraud risk, compliance concerns, or breach of these terms.
  • Acceptance is timestamped with this version string. Material updates require re-acceptance before new checkout can be enabled.

10. Stripe Connect

If you enable Stripe Connect, card payments are processed as destination charges to your connected Express account. Exhibo deducts its tier commission as a Stripe application fee; the remainder is paid out on Stripe’s schedule to your nominated bank account.

You must complete Stripe onboarding and keep your account in good standing. Stripe’s services agreement, acceptable use policy, and verification requirements apply in addition to these Terms. Exhibo is not responsible for Stripe account freezes or payout delays caused by Stripe’s risk review.

11. Buyers and collectors

Collectors and buyers agree to:

  • Provide accurate contact information on inquiries and purchases.
  • Use inquiries in good faith for genuine interest in artworks or gallery services.
  • Complete payment only for works they intend to purchase subject to the gallery’s policies.
  • Confirm delivery when requested for platform-held sales (see delivery confirmation emails).

Buyer protection beyond what is described in these Terms and at checkout is limited. Galleries remain responsible for fulfilment. Contact the gallery first with any issue; escalate to Exhibo at legal@exhibo.art for platform payment disputes.

12. Acceptable use

You must not:

  • Upload unlawful, infringing, defamatory, or deceptive content.
  • Harass other users or Exhibo staff.
  • Scrape or crawl the site in violation of robots.txt or at a rate that impairs the service.
  • Attempt to bypass inquiry, deposit, or commission mechanisms for leads discovered on Exhibo.
  • Resell press distribution slots or dashboard access without written consent.
  • Use the platform for money laundering, sanctions evasion, or fraud.
  • Reverse engineer or interfere with the security of the application.

13. Intellectual property

Exhibo wordmarks, logos, software, and editorial collections are owned by us or our licensors. You may not use our branding without permission except as necessary to reference your own listing on Exhibo.

If you believe content on Exhibo infringes your copyright or other rights, contact legal@exhibo.art with identification of the work, the infringing URL, and your contact details. We may remove content pending review.

14. Disclaimers and liability

The service is provided on an “as is” and “as available” basis. We do not warrant uninterrupted access, error-free operation, or that every listing is accurate or available.

To the fullest extent permitted by law, Exhibo excludes liability for indirect, incidental, or consequential loss (including lost profits or goodwill). Our aggregate liability arising from these Terms is limited to the greater of (a) fees you paid to Exhibo in the twelve months before the claim or (b) one hundred pounds (£100), except where liability cannot be limited by law (including death or personal injury caused by negligence, or fraud).

Nothing in these Terms limits your statutory rights as a consumer where applicable.

15. Suspension and termination

We may suspend or terminate access immediately if you breach these Terms, fail to pay amounts due, or create legal or reputational risk. You may close your account by contacting legal@exhibo.art. Provisions that by nature should survive (including commission obligations, liability limits, and governing law) will survive termination.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer protection rules in your country of residence.

Before formal proceedings, parties agree to attempt good-faith resolution by email within 30 days. This does not prevent either party from seeking urgent injunctive relief.

17. Changes to these Terms

We may update these Terms to reflect new features, pricing, or legal requirements. Material changes will be posted on this page with an updated date. Continued use after the effective date constitutes acceptance where permitted by law. For platform payout terms, re-acceptance in the dashboard may be required.
